Approaches to Anti-Corruption
Anti-corruption is a global social issue included in the 10th Principles of the United Nations Global Compact. The OKI Group is promoting initiatives to prevent corruption based on the "OKI Group Anti-Corruption and Anti-Bribery Policy." The "OKI Group Anti-Corruption and Anti-Bribery Policy" complies with anti-corruption laws and regulations that apply in each country and region where the OKI Group operates, such as the Japanese Unfair Competition Prevention Act, the US Foreign Corrupt Practices Act, and the UK Bribery Act. The policy defines the basic requirements for complying with such laws and regulations and conducting business appropriately.
Furthermore, we established specific administration rules for recording gift exchanges and receiving/offering entertainment, and each domestic and overseas OKI Group company annually monitors compliance with these rules. In fiscal year 2022, there were no issues related to bribery or corruption in the OKI Group.
Thorough Compliance with Anti-monopoly Act
In February 2017, the Japan Fair Trade Commission issued a cease and desist order in accordance with the Anti-Monopoly Act and ordered OKI to pay fines with regard to trade related to digital wireless communication systems for firefighting and emergency use. We are working on prevention measures to ensure this never happens again.
Based on regulations for ensuring compliance with anti-monopoly laws, we have introduced and run a system for recording contact with competing companies, and we also repeatedly bring up the topic of anti-monopoly laws for our education to achieve a thorough awareness of rules to be followed. Fiscal year 2022 marked our fifth year since we received the above cease and desist order, so we expanded the targets of the relevant training, which was based on the following topic: conveying the details of the violating act, actions taken afterward, and OKI initiatives to help everyone take another hard look at their own behavior.
We will continue striving to foster awareness of compliance by monitoring the operating situation in terms of rules related to anti-monopoly laws, increasing the effectiveness of related systems, having our top management continuously communicate messages aimed at more comprehensive compliance, and other means.
Elimination of Anti-Social Forces
In our "Basic Policy for the Establishment of an Internal Control System," OKI has clearly expressed its firm stance of resolutely preventing any kind of relationship with organized crime across our entire organization by working with the police against anti-social forces. The "OKI Group Code of Conduct" and related regulations declare all employees to be thoroughgoing on this front. We have also compiled a manual on how to respond to organized crime, and our transaction contracts carry a clause for eliminating organized crime.
Efforts for Security Export Control
OKI has established "Rules for Compliance with Export-Related Laws and Regulations," with the aim of ensuring conformity with the Foreign Exchange and Foreign Trade Act and other applicable laws and of carrying out proper export management, as part of its efforts to maintain world peace and prevent the proliferation of weapons of mass destruction. We carry out export management according to a self-management system headed by our Export Review Committee and other specialized departments.
