Milbank advised TPG Angelo Gordon in connection with establishing a joint venture with Hilco Global ("the JV"), formed to identify, acquire and finance consumer brands and intellectual property in partnership with Bluestar Alliance. Milbank advised the JV on its approximately $190M investment in a securitization transaction established by BR Brand Management, LLC (a subsidiary of B. Riley Financial, Inc.) that included the transfer and contribution of assets and intellectual property for several brands, including Hurley, Justice and Scotch & Soda, among others, in connection with the financing. Milbank represented the underwriters in the initial public offering of shares of common stock by StandardAero, Inc., a leading independent pure-play provider of #aerospace engine aftermarket services for fixed and rotary wing aircraft, serving the commercial, military, and business #aviation end markets. The initial public offering was upsized from the previously announced 46,500,000 shares to 69,000,000 shares, which includes the full exercise of the underwriters’ option to purchase an additional 9,000,000 shares, at a public offering price of US$24.00 per share. The deal team was led by Corporate Finance and Securities partners Rod Miller and Lesley Janzen, along with associates James Dorian, Nicole Haddad and Devarshi Mukhopadhyay.
