Palo Alto Networks LIVEcommunity Terms of Use

 

Ownership of Site.  The Site is the property of Palo Alto Networks, Inc., and its subsidiaries and affiliates as applicable (collectively, Palo Alto Networks) and its licensors. These Terms and Conditions of Use (the Terms of Use) apply to the Palo Alto Networks LIVEcommunity website located at https://live.paloaltonetworks.com, and all related Palo Alto Networks LIVEcommunity websites, in locations around the world, that are linked to such site (collectively, the “Site”).

 

Your Agreement to the Terms of Use; Grant of Privilege to Use. BY USING THIS SITE, YOU AGREE TO THESE TERMS OF USE. IF YOU DO NOT AGREE TO THESE TERMS OF USE, DO NOT USE THIS SITE. Palo Alto Networks reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. These Terms of Use are subject to change in the sole discretion of Palo Alto Networks, and you are responsible for checking for periodic changes to such Terms of Use. Your continued use of the Site following the posting of changes is your acceptance and agreement to such changes. Provided you comply with these Terms of Use and continue to comply, Palo Alto Networks grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site. The Site is made available to you (you and others who access and use this Site, each being a "User") subject to these Terms of Use. By accessing this Site, and by continuing to use the Site, you agree to these Terms of Use as well as to our Privacy Policy. If you do not agree, you may not use or access any part of the Site. Note that certain areas of the Site and use of data, content, or services made available by the Site or otherwise are subject to additional terms and conditions. If you download Software or participate in other activities that are subject to additional terms, such as the group email lists or other collaborative communication forums, you also agree to honor the terms relating to those specific activities.

 

Registration Data and Related Obligations.  In consideration of your use of this Site, you agree to (a) provide true, accurate, current and complete information about yourself when registering as a User and in any other communications or materials relating to your identification and authorization as a User (such information being "Your Data"), and (b) maintain and promptly update Your Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or if Palo Alto Networks has reasonable grounds to suspect that the information you have provided is untrue, inaccurate, not current or incomplete, Palo Alto Networks has the right to suspend or terminate your account and deny you any and all current or future use of the Site, or any portion thereof. You may have received a password and account designation upon completing the registration process. You are responsible for maintaining the confidentiality of the password and user identification, and are fully responsible for all activities that occur under your password or user identification. You agree to (a) notify Palo Alto Networks of any unauthorized use of your password or user identification and any other breach of security, and (b) ensure that you exit from your account at the end of each session. Palo Alto Networks cannot and will not be responsible for any loss or damage arising from your failure to comply with this provision. You may not transfer your account(s) to another person or register an account on behalf of another person. Minors are not permitted to register an account, even if such minors' parent, guardian or other authorized adult has authorized such minor to do so. By registering and using this Site, you acknowledge that your Username will be visible to other Users of this Site. If you do not wish your email address or other personal information be visible to other Users, do not use such information as your User name. If you reside in the European Union, upon registration you will be indicating your explicit consent that the personal information you have provided may be transferred and stored in countries outside the EU, including the United States. If you fail to provide your consent, you will not be permitted to access those portions of the Site for which registration is required. Your personal information shall only be used in accordance with Palo Alto Networks Privacy Policy. For additional information on how we use your information, please see our Privacy Policy.

 

Terms of Use Do Not Govern Palo Alto Networks Products and Services. Palo Alto Networks product and services, including any obligations of Palo Alto Networks thereof, if any, are governed solely by the agreements pursuant to which they are provided, and nothing on this Site should be construed to modify, amend or supersede such agreements.  The materials on this Site with respect to products and services may be out of date, and Palo Alto Networks makes no commitment to update the materials on the Site with respect to such products and services.

 

Content and Your Use of the Site.  All content on the Site, including but not limited to text, graphics, user interfaces, visual interfaces, code, logos, trademarks, design, structure, selection, coordination, expression, look and feel and arrangement of the Site (collectively Content) is owned, controlled or licensed by or to Palo Alto Networks, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and laws. You may use information on Palo Alto Networks products and services (such as data sheets, knowledge base articles, and similar materials) purposely made available by Palo Alto Networks for downloading from this Site, provided that you (1) not remove any proprietary notice language in all copies of such documents, (2) use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media, (3) make no modifications to any such information, and (4) not make any additional representations or warranties relating to such documents.  Except as expressly provided in these Terms of Use, no part of this Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including mirroring) to any other computer, server, website or other medium for publication or distribution or for any commercial enterprise, without Palo Alto Networks express prior written consent. You may not attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any Palo Alto Networks server, or to any of the services offered on or through the Site, by hacking, password mining or any other illegitimate means. You may not use any deep-link, page-scrape, robot, spider or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of this Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of this Site or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through this Site. Palo Alto Networks reserves the right to bar any such activity.  You may not probe, scan or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Site, or any other customer of Palo Alto Networks, including any Palo Alto Networks account not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.

 

No Malicious or Illegal Use.  You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or Palo Alto Networks systems or networks, or any systems or networks connected to the Site or to Palo Alto Networks. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other persons use of the Site. You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to Palo Alto Networks on or through the Site or any service offered on or through the Site. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity. You may not use the Site or any Content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of Palo Alto Networks or others.

 

User Content.  You will not upload, post or otherwise make available on this Site any material protected by copyright, trademark, or other proprietary right,  unless you are the owner of the copyright, trademark or other proprietary right, or (ii) without the express written permission of the owner of the copyright, trademark, or other proprietary right (you or such other owner being the "Copyright Holder"). The burden of determining that any material is or is not protected by such a proprietary right and for complying with applicable copyright and other laws protecting the rights of the Copyright Holder rests with you. You acknowledge that the Content provided by any User (the "User Content") is and remains the property of the respective Copyright Holder and that you do not acquire any intellectual property rights in such Content by accessing, downloading or printing such Content. Except as expressly authorized by the Copyright Holder, you may not copy, reproduce, publish, distribute, modify, create derivative works of, rent, lease, sell, transfer, display, transmit, compile or collect, or in any manner commercially exploit any part of the User Content, in whole or in part. You also may not "mirror" any User Content on any other server. By uploading or otherwise making available any User Content on the Site, you automatically grant a license, and/or warrant that the Copyright Holder has granted Palo Alto Networks the perpetual royalty-free, non-exclusive right and license, to use, reproduce, modify, publish, distribute, perform, display, and transmit the User Content on and through the Site.  You will be solely liable for any loss or damages resulting from your violation of these Terms of Use, including for any alleged or actual infringement of copyright, other proprietary right, or any other illegal act or harm relating to any User Content.

 

Deletion of User Content.  You expressly acknowledge and agree that Palo Alto Networks may delete all User Content at any time in its sole discretion, and that no copies of such User Content will be accessible, viewable or downloadable by you or any other User following such deletion. Accordingly, you must retain a copy of any User Content uploaded by you if you want to access or use such User Content in the future.  Palo Alto Networks shall not be required to provide any notice of any such deletion, nor be liable for any failure to do so, nor be liable in connection with any deletion of User Content.

 

No Obligation to Monitor; Right to Remove and Disclose User Content.  Palo Alto Networks has the right, but is not obligated, to monitor or review any areas of the Site where User Content is made available.  Palo Alto Networks reserves the right to move, hide or remove any User Content for any reason or no reason, including any User Content which it considers in its absolute discretion to be objectionable, offensive, illegal or otherwise in breach of these Terms of Use. To the fullest extent permitted by applicable law,  Palo Alto Networks will have no liability or responsibility for or related to User Content, whether or not arising under the laws of copyright, defamation, privacy, obscenity, or otherwise, nor for any claims, damages, or losses resulting from its use, appearance on, deletion from, or other removal from any Site.

 

Non-Confidentiality of User Content.  Unless otherwise indicated in this Site, including our Privacy Policy, any User Content communications or material of any kind that you email, post, or transmit the Site (excluding personally identifiable information of Users), including, questions, comments, and other data and information (your "Communications") will be treated as non-confidential and non-proprietary. You grant Palo Alto Networks and the Users of this Site a non-exclusive, royalty-free, perpetual, world-wide, irrevocable license to reproduce, transmit, display, disclose, and otherwise use your Communications on the Site.

 

Links to Other Sites and to the Palo Alto Networks Site.  This Site may contain links to other independent third-party Web sites (Linked Sites). These Linked Sites are provided solely as a convenience to our visitors. Such Linked Sites are not under Palo Alto Networks’ control, and Palo Alto Networks is not responsible for and does not endorse the content of such Linked Sites, including any information or materials contained on such Linked Sites. You will need to make your own independent judgment regarding your interaction with these Linked Sites.

PALO ALTO NETWORKS IS NOT RESPONSIBLE FOR ANY INFORMATION OR CONTENT POSTED ON THIS SITE, INCLUDING AS POSTED BY USERS OR ANY THIRD PARTY, AND CONTAINED WITHIN THE SITE AND MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE INFORMATION CONTAINED ON THE SITE FOR ANY PURPOSE OR AUDIENCE NOR ABOUT ITS LEGITIMACY, LEGALITY, VALIDITY, ACCURACY, CORRECTNESS, RELIABILITY, QUALITY, STABILITY, COMPLETENESS, OR CURRENTNESS. Indemnification. You agree to indemnify and hold Palo Alto Networks, and its affiliates, officers, licensees, distributors, agents, partners, and employees, harmless from any claim or demand, including reasonable attorney's fees and costs, made by any third party due to or arising out of any Software and/or Content, including User Content, you submit, post to, email, or otherwise transmit the Site, (ii) your use of the Site, or (iii) your breach of the Term of Use. You agree to cooperate as reasonably required in the defense of any claim.

 

Limitation of Liability.  Except where prohibited by law, in no event will Palo Alto Networks be liable to you for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if Palo Alto Networks has been advised of the possibility of such damages. If, notwithstanding the other provisions of these Terms of Use, Palo Alto Networks is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Site or any Content, Palo Alto Networks liability shall in no event exceed US 100.00. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

 

Violation of These Terms of Use.  Palo Alto Networks may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) Palo Alto Networks' rights or property, or the rights or property of visitors to or users of the Site, including Palo Alto Networks customers. Palo Alto Networks reserves the right at all times to disclose any information that Palo Alto Networks deems necessary to comply with any applicable law, regulation, legal process or governmental request. Palo Alto Networks also may disclose your information when Palo Alto Networks determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.

You acknowledge and agree that Palo Alto Networks may preserve any transmittal or communication by you with Palo Alto Networks through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or Palo Alto Networks determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce these Terms of Use, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of Palo Alto Networks, its employees, Users of or visitors to the Site, and the public.

You agree that Palo Alto Networks may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to Palo Alto Networks, for which monetary damages would be inadequate, and you consent to Palo Alto Networks obtaining any injunctive or equitable relief that Palo Alto Networks deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Palo Alto Networks may have at law or in equity. If Palo Alto Networks does take any legal action against you as a result of your violation of these Terms of Use, Palo Alto Networks will be entitled to recover from you, and you agree to pay, all reasonable attorneys fees and costs of such action, in addition to any other relief granted to Palo Alto Networks. You agree that Palo Alto Networks will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use.

 

Governing Law; Dispute Resolution. You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the United States and by the laws of the State of California without regard to its conflicts of laws provisions. You agree to the personal jurisdiction and venue in the state and federal courts in Santa Clara County, California, and waive any objection to such jurisdiction or venue. The preceding provision regarding venue does not apply if you are a consumer based in the European Union. If you are a consumer based in the European Union, you may make a claim in the courts of the country where you reside. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. Claims made under the separate terms and conditions of purchase for goods and services are not subject to this limitation. No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys fees. In the event of any controversy or dispute between Palo Alto Networks and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

 

Miscellaneous. You may not use or export or re-export any Content or any copy or adaptation of such Content, or any product or service offered on the Site, in violation of any applicable laws or regulations, including without limitation United States export laws and regulations. If any of the provisions of these Terms of Use are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect. These Terms of Use constitute the entire agreement between you and Palo Alto Networks with regard to your use of the Site, and any and all other written or oral agreements or understandings previously existing between you and Palo Alto Networks with respect to such use are hereby superseded and canceled. Other than as provided in a purchase agreement you enter into with Palo Alto Networks, Palo Alto Networks will not accept any counter-offers to these Terms of Use, and all such offers are hereby categorically rejected. Palo Alto Networks failure to insist on or enforce strict performance of these Terms of Use shall not be construed as a waiver by Palo Alto Networks of any provision or any right it has to enforce these Terms of Use, nor shall any course of conduct between Palo Alto Networks and you or any other party be deemed to modify any provision of these Terms of Use. These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties.

Palo Alto Networks provides access to Palo Alto Networks international data and, therefore, may contain references or cross references to Palo Alto Networks products, programs and services that are not announced in your country. Such reference does not imply that Palo Alto Networks in your country intends to announce such products, programs or services.
